摘要：根据股权投资基金的时限性、波动性以及高收益性，设计出一系列的投后管理与控制制度以保障标的企业有效发展是股权投资基金达到预期收益目标的基础，而有效的退出机制则是股权投资基金实现投资收益的手段。本文通过对股权投资基金的发展历程及趋势进行分析，阐述了股权投资基金的特点、结构与运作过程，对股权投资基金的投后管理与与控制体系和退出机制进行了较为系统的研究，并结合参与的芝麻资本管理有限公司投后管理与控制体系的实际建设工作提出了较为完整的投后管理与控制系统。我国股权投资市场的快速发展，使得股权投资基金面临大量已投资项目的投后管理问题和已投项目的退出问题，希望通过本文的研究为我国股权投资行业的发展提供借鉴和参考。81847
