摘要:随着社会的发展，公司治理问题越来越受各方面的关注，大家普遍认同股权结构对公司治理的影响，我国企业在公司治理上存在很大问题，这些问题的存在大多数都是因为企业本身股权结构的不合理导致的，每个企业股权结构不一样，所产生的公司治理问题也不一样。本文首先对股权结构和公司治理相关理论进行阐述，分析股权影响公司治理的机制以及途径，以万科集团为例，从介绍万科与宝能公司开始，回顾双方的股权之争，透过股权之争看万科的股权结构与公司治理，寻找出万科集团在股权方面的缺陷，从中给出对于万科以及我国企业在公司治理方面的一些启示。91896

Abstract: With the development of society, the problem of corporate governance is getting more and more attention in all aspects, generally accepted the influence of ownership structure on corporate governance, enterprise of our country has a lot of problems in corporate governance, these problems are the majority is because the enterprise itself caused by the unreasonable ownership structure, ownership structure of each enterprise is not the same company。
Governance issues arising are not the same。 This paper expounds on the ownership structure and corporate governance theory, analysis of the impact of corporate governance mechanism of ownership and the way, Vanke Group as an example, from the introduction of Vanke and treasure company began, a review of both the equity dispute, through equity dispute at Vanke's equity structure and corporate governance, to find out the Vanke Group in equity deficiencies from given for Vanke and China's enterprises in the corporate governance of some enlightenment。

1引言
