我国上市公司股权激励存在的问题与对策研究

摘要随着股份制改革的深化推进,现代企业制度逐渐在我国建立起来,所有权和经营权的分离所带来的利益分歧侵蚀着公司的整体利益,为了使职业经理人着眼于公司的可持续发展,避免其短视行为,共同为实现股东财富最大化而努力,九十年代由万科率先开始的期权激励计划拉开了我国上市公司股权激励的帷幕。在经历2005年股权分置改革和2006年股权激励相关法律法规的完善之后,新的制度和形势为股权激励的发展提供了良好的平台,实行股权激励的公司开始呈现井喷式增加。83675

本文主要研究在2006年新的法律法规出台的背景下,结合股权激励的理论基础,分析我国现行股权激励的状况,并采用案例分析法,通过苏宁云商推出的三次股权激励方案,分析前两次方案失败的原因,以及第三次推出的股权激励成功实施后对于公司绩效的影响。通过案例中呈现的股权激励方案的不足之处结合我国宏观经济环境总结我国股权激励发展进程中出现的问题,并针对问题提出切实可行的建议。

Title   Research on the problems and countermeasures of the listing    corporation stock ownership incentive in China           

Abstract With the deepening of the reform of the shareholding system, the modern enterprise system gradually established in China, the separation of ownership and management rights brings about the interests of the company's overall interests, In order to make the professional managers focus on the sustainable development of the company, to avoid its short-sighted behavior, and strive to achieve the maximization of shareholder wealth, the beginning of the Vanke option plan opened the curtain of China's listing Corporation equity incentive in the 1990s。 After the perfection of the non tradable share reform in 2005 and the improvement of the relevant laws and regulations about equity incentive in 2006, the development of the new system and situation of the equity incentive provide a good platform, companies which implemented equity incentive began to show a blowout type increase。

This paper mainly studies about under the background of the new laws and regulations in 2006, combined with the theoretical basis of equity incentive, analysis the current situation of China's equity incentive, and adopts case analysis method, through the introduction of Suning Appliance of three equity incentive plan, analyze the causes of failure of the first two schemes, as well as the third launch equity incentive effects on the performance of the company after successful implementation。 Through the case of the deficiency of the equity incentive scheme presented by combining the macroeconomic environment to summarize emerge in the process of development of China's equity incentive problems, and in view of the problem put forward feasible suggestions。
