摘要商标反向假冒是未经商标注册人同意，更换其注册商标并将该更换商标的商品又投入市场的行为。它是一种特殊的假冒行为, 不但侵害了商标所有人的商标权, 还侵害了消费者的权益, 更是一种不正当竞争行为,所以如何判定反向假冒的含义、种类、构成条件等成为尤为重要的问题。新商标法将撤换他人注册商标的反向假冒行为列为侵犯商标专用权的行为，从法律上明确了该行为的性质。然而在我国当下，商标的反向假冒行为仅仅是侵犯商标专用权的行为，行为情节再严重, 也不构成犯罪。 结合国外的立法例来看，这与商标反向假冒行为的严重社会危害性是不相适应的，所以相关立法还有待完善，在我国现行法律体系和框架内,应当由诸法共同规制。作者认为该法律规制的完善应涉及以下几个方面：在商标法方面，修订商标法，并明确规定商标侵权行为；在反不正当竞争法方面，需综合考虑我国《商标法》、有关司法解释以及海外的先进做法，将对商标反向假冒行为的规制更现实、更合理地考虑进来；在刑法方面，不能仅对反向假冒行为给予民事制裁和行政制裁，情节严重的，还应当追究其刑事责任。将商标反向假冒行为综合考虑是法律完善的重要一步，是法制建设的必经之路。7074

Title Discussion of the Tort of Reverse Passing-off of Trademark
Abstract
the reverse passing-off of trademark means the behavior of replacement of the goods of its registered trademarks and selling the goods without the trademark holders’ agreement. It’s a special kind of passing-off behavior , not only infringes on the trademark rights of trademark owners, but also against the interests of consumers, is an act of unfair competition. so how to identify its meaning, types, constitute conditions become a particularly important issue. The new trademark law identified the replacment of others registered trademark as acts of trademark reverse passing off. Clearly legal the nature of the act. However ,in China, the
trademark reverse passing off merely acts of trademark infringement, it cannot be an act of crime. Compared with foreign legislative cases,and considered the serious harm to society, this is not property ,something needed to be done. the aspects are: In trademark law, the revised Trademark Law, and specify the trademark infringement; Anti-Unfair Competition Law, considered China's "Trademark Law", the advanced practice of judicial interpretation, as well as overseas, will trademark reverse passing offregulation is more realistic; in the area of criminal law, can not only reverse passing off to give the civil sanctions and administrative sanctions in serious cases, should also be held criminally responsible. Considering the trademark reverse passing off is an important step to improve the legal system, the only way the legal construction which must be passed.
