摘要由于浮动抵押的特殊性，导致实践中浮动抵押权人与其他权利人之间的权利经常冲突。 然而我国《物权法》中浮动抵押权人与其他权利人之间清偿顺序规则极为简陋，有且仅有第 一百八十九条第二款规定了“正常经营活动中买受人不受追及”规则。英、美两国的浮动抵 押制度发展较为完善，故应在讨论两国相关规则的基础上结合我国企业现状与法律制度，提 出完善浮动抵押清偿顺序规则的建议。具体而言，我国浮动抵押权人与正常经营活动中其他 权利人之间的清偿顺序规则应聚焦于“正常经营活动”的解释；对于在流入财产上享有权利 的第三人与浮动抵押权人之间的清偿顺序规则应借鉴美国的购买价金担保制度；另外，“限 制性条款”的订立也会影响浮动抵押权的优先效力。89016

Due to the particularity of the floating charge, there are many conflicts between the floating charge owners and other rights owners in practice。 However, the provisions of the order of repayment between the floating charge owners and other right owners in the Property Law of the People's Republic of China are extremely simple。 Only Article 189-2 in the Property Law of the  People's Republic of China stipulates "the buyer in ordinary course of business"。 The development of the floating charge in Britain and the United States is relatively perfect。 Therefore, it is necessary to perfect the rules of the floating charge on the basis of the relevant rules of the two countries and the current situation of enterprises and legal system of China。 Specifically, it is necessary to focus on the interpretation of "in ordinary course of business"。 Also it is essential to learn from the rules of order of repayment between floating charge owners and purchase-money security interest owners in the United States。 In addition, the "restrictive terms" will also affect the priority roles of floating charge owners。
