摘  要：21世纪的世界经济正处在巨大的变革当中，经济日益金融化、全球化，在这样激烈变革和发展的大浪潮中，居于金融市场核心地位的资本市场在世界经济的架构中发挥着愈来愈重要的作用。作为资本市场中重要一环的企业并购更是风起云涌，企业间的并购显然已经成为一种重要的运行手段。而企业并购所涉及的核心问题则是如何融得足够的资金来实施并购行为。基于此，本课题以最近发生的“宝万之争”为例，简要分析和评述企业在并购融资当中可能面对的问题，并适当提出相关解决方案和建议。85554

Abstract:The world economy in the 21st century is tremendously changing。 The economy is increasingly becoming financial and globalized。In such a great wave of change and development, the capital market, which is at the core of the financial market, plays an increasingly important role in the structure of the world economy。As an important part of the capital market, mergers and acquisitions is surging。 Mergers and acquisitions between enterprises has clearly become an important means of operation。And the core issue of M & A is how to get enough funds to implement M & A。Based on this, this topic takes the recent conflict between BAONENG and VANKE as an example, briefly analyzes and comments on the problems that enterprises may face in financing M & A, and puts forward relevant solutions and suggestions as appropriate。
