摘要机构投资者不仅是各国证券市场发展的中坚力量，而且也是优化公司治理的重要因素。现有的研究关于机构投资者在公司治理中的作用尚未达成一致，部分学者的研究支持“有效监督论”，而部分学者的研究认为机构投资者对公司治理没有积极作用甚至存在消极作用。我国的资本市场起步较晚，发展还很不成熟，在这么一个新兴的市场里机构投资者是否会积极参与公司治理?参与公司治理又会产生怎样的影响? 本文以机构投资者持股上市公司为研究对象，以2008年-2011年为时间窗口，实证研究发现作为一个整体构投资者参与公司治理是有效的。机构投资者的存在能够有效地完善公司治理结构，提高公司治理水平。66347

Title CORPORATE GOVERNANCE EFFECTS OF INSTITUTIONAL INVESTORS
Abstract
Institutional investors are not only the backbone of all nation’s stock market, but also an important factor in optimizing corporate governance. Existing research on the role of institutional investors in corporate governance has not yet reached agreement, some scholars support the "effective supervision" theory, while some scholars believe that institutional investors even have negative effects on corporate governance. China's capital market starts later and is still immature， will institutional investors participate in corporate governance actively in such an emerging market? What kind of impact will it produce? This paper selects 1471 listed companies from 2008to 2011 as our sample, analysis corporate governance effects of China's institutional investors and find that institutional investors as a whole is effective in corporate governance. The presence of institutional investors can effectively improve corporate governance structure and enhance the level of corporate governance.
