摘要：公司治理和资本结构是两个关乎公司发展和生存的战略要素。从西方资本zhuyi的发展为开端，到目前我国的社会zhuyi市场经济的发展，在这二者之间始终存在着不可分割的联系。然而在从古至今的学术界，所涉及的大部分研究是将公司治理和资本结构分割开来钻研：只注重在不同资本比例的资本结构下如何进行公司治理，挑选的治理方式在公司的发展过程中对资本结构产生的影响与改变。本文在前人研究的基础上，以委托一代理理论、利益相关者理论、最优资本结构理论和最优融资次序理论作为理论支撑，尝试从公司治理和资本结构两个问题出发，讨论研究公司治理和资本结构的关系。希望从问题的两个方面出发，参考实际生活中的案例，能够探讨出更加深刻的结论。71785

Abstract：Corporate governance and capital structure are two strategic factors related to the company's development and survival. From the beginning of the development of western capitalism, to the present, the development of China's socialist market economy, there is an inseparable relationship between the two aspects. However, in the academic circles since ancient times, most of the research is to pide the two aspects: It’s only concerned with the choice of corporate governance under the capital structure of different proportion of capital factors, the influence of corporate governance on the capital structure in the development of the company in the current academic circles. This paper , on the basis of previous studies, attempts to study the relationship between corporate governance and capital structure from two aspects of corporate governance and capital structure, the principal agent theory, the stakeholder theory, the optimal capital structure theories and the optimal financing order theories are used as the theoretical supports. I hope that from the two aspects of the problem, the reference to real-life cases, we can explore more profound conclusions.
