摘要2014年新修订的《公司法》通过取消最低注册资本，实施完全的认缴资本制，取消对公司货币出资比例限制，取消验资程序等内容降低公司成立的要求，从而鼓励更多人去创业。本文将从新《公司法》修改的背景出发，查询文献并结合相关知识论述新《公司法》的具体修改，结合社会现状分析修改后产生的影响与问题。新《公司法》的修改体现了立法者从资本信用到资产信用理念的转变，也伴随着公司法人人格否认的一种适用情形的取消，但股东出资义务和责任并没有本质变，从而造成了债权人的信用风险。我国须尽快建设完善可靠的市场主体信用信息平台以实现股东和债权人的利益平衡。在经济全球化的背景下，为更好地融入到世界市场，保障市场经济的健康发展，重新修改与完善《公司法》成了当务之急。86704

On the revision of "company law"

Abstract In 2014 the new company law reduce the demands of founding a company by canceling minimum registered capital,implementing comprehensive subscription capital system,canceling the scale limiting of contribution in currency and canceling verification。etc in order to encourage more people to start a new business。Under the background of the new company law to modify,I will query literature and use relevant knowledge to expound the specific changes of the new company law in order to analyze effect and problem after modification。 Modification of the company law reflects that legislators transform capital credit idea to assets credit idea and cancel the denial of corporation personality。But liability of shareholder's investment obligation has no change。Then this phenomenon cause the trust crisis of creditors。Thus our country must quickly builds the credit information platform of market bodies to make a interest balance between creditors and shareholders。In the context of economic globalization, to better integrate into the world market, to protect the healthy development of the market economy, to amend and improve the "company law" has become a top priority。
