基于注册资本认缴制的交易安全保障探析

摘要我国改革开放多年以来，市场经济的不断完善和发展，使我国的社会主义市场经济活动越来越繁荣和丰富。经济基础决定上层建筑，越来越活跃的市场经济活动，需要越来越健全的市场经济相关的法制。2013年《公司法》的修改，新的《公司法》对我国公司资本与登记制度的改革，做了立法上的合法确认。修改后的新《公司法》取消了注册资本最低限额的要求；公司注册资本由公司注册资本实缴制改为公司注册资本认缴制，新《公司法》规定不在限制股东或者发起人首次缴纳资本的数额以及分期缴纳资本的期限；废除了需要验资的要求和验资的证明；取消了货币出资资本的比例要求；并对公司登记制度做出了相应的修改。本文主要是对公司资本、公司资本的原则、外国公司资本制度的历史演变、我国公司资本制度的历史演变、公司注册资本认缴制、公司注册资本认缴制下对债权人保护、公司注册资本在司法实践中的纠纷问题、笔者对公司注册认缴制的几点思考等方面，对公司注册资本认缴制下，对债权人的保护问题做了一定的分析和探讨。89213
