摘要：本文是关于证券市场中小投资者保护的法律与监管制度建设的探析，意义是找出并解决证券市场中的问题，提出相应措施，让市场安全稳定的发展。当前法律制度主要是在立法和救济制度这两个方面存在缺陷；监管制度存在的问题主要是在权利划分方面比较模糊、监管缺乏独立性、证交所权力失控这三个方面，对此提出了需要完善相应的法律制度同时加强市场的监管力度的政策建议。75818

The legal and regulatory system construction of small and medium investors in securities market
Abstract: In this paper, we will study the construction of legal and regulatory system to protect the medium and small investors in securities market。 This is meaningful to find and solve the problems existing in the securities market。 We will put forward corresponding measures in order to maintain the market in good order, and ensure fairness, impartiality and openness。 We find that the problems of current investor protection legal system are mainly in the two aspects, such as legislation defects and the less of legal relief system。 We also find that the problems existing in regulatory system are the vague in the pision of rights, the lack of regulatory independence, and the out of control of stock exchange’ power。 So we put forward some policy recommendations to improve the legal system and the market supervision in the end。

一、研究背景与研究意义
（一）研究背景
在过去的二十多年内，我国的国民经济在不断的发展，但证券市场却屡遭瓶颈，中小投资者权益被侵犯的频率越来越高，而大部分中小投资者在权益被侵犯后却无法获得应有的赔偿，市场环境持续低迷。据统计，到2014年底的时候，证券市场上市公司已经达到2900多家，拥有37亿的股票市值，它可以给上市公司提供10000亿的直接融资，这些数字表明了证券市场对国家经济发展的意义很大。论文网
