摘要随着国家“走出去”战略实施以来,海外并购正逐渐成为我国企业获取资源、提升技术和管理水平、增强国际竞争力和扩大市场的一种重要途径。2014年第三季度,民营企业海外并购的交易数量是国有企业的两倍还多,显然民营企业成为我国企业海外并购的一支生力军。但因文化风险导致的并购失败不在少数,而西方对海外并购的文化风险研究也早就盈篇满籍,从另一个侧面说明了在海外并购中重视文化风险的必要性。本文对民营企业海外并购文化风险的特征和产生的原因进行分析,同时以动态的文化融合替代传统的文化整合,主要通过动态融合模式对民营企业遇到的文化风险进行控制,并结合案例进行实证分析。47013
Since the national strategy of "going out", overseas mergers and acquisitions in China is playing an important role in obtaining resources, enhancing the level of technology and management, enhancing the international competitiveness and expanding market for enterprises. The third quarter of 2014, the number of private enterprises overseas mergers and acquisitions’ transactions is more than two times as the state-owned enterprises. Private enterprises have become a new force obviously. Although the failure of M & A caused by cultural risk is not a few, the research on the cultural risk of overseas M & A has a lot, which from another side shows the necessity of attention to cultural risk in overseas mergers and acquisitions. This article carries on the analysis to the private enterprises overseas M & a culture of risk’s characteristics and causes. And let dynamic mixing culture integration instead of traditional cultural integration. Mainly through dynamic mixing culture integration to control cultural risk of private enterprises, and combined with case analysis.
