摘 要:股权激励机制从发展至今有近 60 年的历史,实践证明股权激励制度是有效处理公 司股东和经营者之间委托代理问题的方式之一。它也是一把双刃剑,优秀的股权激励有助 于企业的发展,不合理的股权激励也会成为公司业绩的拦路虎。本文中的案例华为公司作 为我国股权激励的典范公司,研究其股权激励对于微观公司主体及宏观经济发展都具有积 极而现实的意义。因此,从华为公司的实际情况着手,运用系统理论和知识为基础,根据 华为近几年的财务数据等的研究,较为细致的论述了华为公司股权激励方案的优点及其缺 点。通过华为公司引发的启示,由小见大地提出了相应改进国内股权激励弊端的举措。91018
