摘 要：本文选取淮安市康乃馨公司为案例进行分析。我们可以通过对康乃馨公司案例的研究，发现康乃馨公司存在通过盈余管理实现平滑利润等行为为目的的现象，反映了其公司存在盈余管理的事实。同时提出来的些许建议与其公司的盈余管理制度是有关的。通过对康乃馨公司的案例研究，得出如下结论：在资本市场发展进程中，盈余管理自始至终存在；一般公司管理层会通过这样的方式进而达到自身想要的目的，但实际上并不是所有的公司都能够达到预想的目的；想要削弱公司的盈余管理，能做的只是不断地完善公司的治理结构，使公司尽可能的无法实施盈余管理。58018

Abstract: This text is going to analysis the Canasin Co. in Huaian city as a case. Througth the case studies of the Canasin Co. we can find the phenomenon that Canasin achieved the objectives of  income smoothing, tax saving and so on by earings management. And this phenomenon reflects the fact of the existence of earing management in Canasin. At the same time, we have made some recommendations on the earing system. Through the case study, we got the following summary. Firstly, the earning management will be always exist in the process of capital market development. Secondly, generally, company mangers are trying to realized their ideal by managing earnings. However, the truth is this way does not work for all the companies. Finally, the only thing companies can do is to keep perfecting the governance system, which would weaken the earning management in companies.

1  引言

    伴随着我国市场的不断发展，我国市场己经从开始时候的“消息市”渐渐形成理性发展趋势，会计盈余信息的发布已经引起更多的经营者、投资者者、债权人、政府以及其他的一些利益相关者所关注。因此，为更多的企业来实现所有受益相关者的需要而进行盈余管理，这样的行为带来的问题在很多公司不断发展。从我国今年证劵市场暴露出的一系列财务欺诈丑闻，一系列财务舞弊案件的出现，这些行为都对股票市场产生了巨大的影响。
