摘  要：企业并购在推动当前中国经济发展和企业改制中起着不可磨灭的作用，并购整合的结果对并购的成功举足轻重，然而文化整合却是其中最为重要的一部分。本文所研究的问题是企业并购与整合。本文在了解企业并购的现实意义与背景的基础上，采用案例分析的方法，从案例中提出具体问题及对策分析了企业并购整合问题。本文首先选取了一个成功的企业并购案例，讲述了并购整合过程中的现状及问题，其次介绍了并购过程，最后提出了针对企业并购整合现状及问题的有益对策。67890

Abstract:Mergers and acquisitions in the development of current china’s economy and plays an indelible role in enterprise restructuring, merger integration is very important to the success of m&a and the result of the cultural integration, however, is one of the most important part of it. In this paper, the author studies on the problem is the m&a and integration. Understand the realistic significance and background of the merger and acquisition is presented in this paper, on the basis of using the method of case analysis, from the specific problems and countermeasures in the case analysis of the m&a integration problems. At first, this paper select a successful m&a case, tells the story of the present situation and problems in the process of m&a integration, secondly introduces the merger process, finally put forward in view of the current situation and problems of enterprise merger integration of useful countermeasures.

1  引言

并购一直是全球经济活动中的热点问题，并在最近数十年间成为我国企业拓展国际市场、扩大经营规模、在全球范围内获得所需自然资源及技术与管理知识等的重要途径。[1]为了使企业能够实现大规模扩张，突破行业与行业联系，打破规模格局，主动应对外部环境变化产生的竞争压力等一系列问题只能通过企业并购。企业并购的研究问题包括并购是否能够创造目标价值，价值创造的关键影响因素等，也包括其他具体的、有技术量的问题。从以往分析企业并购方面的文献可以看出都是从微观层面、操作层面入手摸索企业并购的规律性，对一些真实并购案例的分析很少。无论是并购成功或者失败，作为研究对象对我们都是有益的。借鉴别人成功的经验，吸取别人失败的教训。本文试图结合实际，选取一个最新并购案例进行探讨，从背景到过程再到分析，力图展示一个真实生动的并购事件。期望人们能够更了解企业并购，深入并购理念，最主要的是给企业一定启示，对企业克服困难或提高自身竞争力有更多更有益的帮助。
