摘要：20世纪80年代中国走上了特色社会主义市场经济的改革开放道路。随后的三十年这一步伐明显加快，这也代表着国有企业的改革不断深入。虽然国有企业体制机制创新取得了一些突破，但依然存在不少问题，其中董事会缺乏独立性的问题最为显著。本论文首先站在如何解决董事会缺乏独立性的角度进行叙述，然后结合上海市闵行区数家中小型国有企业2012—2014年的运作情况和国外的先进经验，最后从董事会结构设置和激励机制两个方面采取相应对策缓解甚至解决国有企业董事会缺乏独立性的问题，进而完善国有企业法人治理结构。35687

Study on the independence of the board of directors in the governance structure of the state-owned enterprise corporate governance
Abstract : Twentieth Century 80 time, China embarked on the road of socialism with characteristics socialist market economy. Then the thirty years of this pace is accelerated significantly, which also represents the reform of state-owned enterprises continue to further. There are some breakthroughs in the innovation of institutional mechanisms of state-owned enterprises, but there are still many problems and the lack of independence of the board of directors is the most significant. This paper mainly focus on how to solve the board of directors of the lack of independence of the perspective of narration, combining, Minhang District, Shanghai City, a number of small and medium-sized state-owned enterprises 2012 - 2014 operation situation and foreign advanced experience. Finally, from the board of directors structure setting and incentive mechanism two aspects to take corresponding measures to ease or even solve the board of directors of state-owned enterprises lack of independence, and to improve the corporate governance structure of state-owned enterprises.

绪论
