摘要：社会经济的发展，信息化水平的提升，企业作为自身内部发展的需要和外部市场环境的快速变化，并购重组行为的产生实属必然。同时，由于证券市场对IPO的准入存在严格限制，使得多数企业不得不另辟蹊径，通过间接的形式达到自身上市目的。借壳上市，便是其中的典型体现。81827
借壳方凭借收购让壳方，而让壳方本身属于上市企业，借此途径达到上市目的，称为借壳上市。前者通过将自身优质资产与成熟的管理经验植入后者，而后者则借此机会保住上市公司身份，同时引入强有力的合作伙伴，拓宽市场发展机遇。
然而，尽管近年来借壳上市市场如火如荼，围绕着壳资源的选择与借壳上市条件等问题，人们对于借壳上市这一现象存在的弊端也浮出水面。文章对于借壳上市的起源、发展以及形成动因予以分析，通过从企业、监管者以及中小投资者三个角度对市场上存在的问题进行探讨，从中展现借壳上市的现状及未来发展方向。

Discussion on some problems of enterprise backdoor listing
Abstract: As the development of information society, it is inevitable to see acquisition and merger of enterprise rising strongly, due to the need of internal growth and the external market environment changing rapidly。 Meanwhile, as a result of strict restrictions on the access to IPO, the majority of enterprises have to find another to make it happen。 Backdoor listing, is one of the typical example。
For backdoor listing, backdoor side (unlisted company) through the acquisition of the shell side (listed companies) to achieve its listing。 By means of their own high-quality assets and mature management experience, the former embedding it into the shell, while the latter will take this opportunity to keep the identity of listed companies, introducing strong partners to expand market opportunities。
Despite the backdoor listing market in full swing, in recent times, several drawbacks show the true colour, such as the shell resource selection, backdoor listing conditions and others。 This article analysis the origin, development and motivation for backdoor listing, discussing the existed problem from the perspective of the enterprises, the supervisors and the small & medium-sized investors, to mark its current situation and future directions。
