野蛮收购现象研究基于宝万之争

摘要：伴随着近年来股权分置改革的不断深入，中国的证券市场改革的全流通时代已经到来，这期间，我国上市公司的收购和反收购行为也产生了一些变革。文章围绕上市公司的野蛮收购与反收购问题，以经济学、管理学、法律、证券为理论基础，从理论和实践两方面系统研究了野蛮收购的危害，并对上市公司野蛮收购进行实例研究，最后对此提出了一些反收购的策略。本文旨在通过对野蛮收购的分析研究，规范上市公司的收购行为，进而促进我国证券市场平稳健康发展。 91542

Abstract:With the deepening of the split share structure reform in recent years, the full circulation era of China's securities market reform has arrived。 During this period, the acquisition and anti-takeover behavior of listed companies in China has also undergone some changes。Based on the theory of economics, management, law and securities, this paper systematically studied the harm of barbaric acquisition from the aspects of theory and practice, and carried out case study on the savage acquisition of listed companies, and finally put forward some anti-takeover strategy。The purpose of this paper is to promote the steady and healthy development of China's securities market through the analysis of barbaric acquisitions and the regulation of listed companies。
