摘 要股权激励制度作为处理委托代理矛盾、健全公司治理结构、发挥人力资源的有效制度已 经渐渐发展起来,影响越来越大,特别是对上市公司。伴随着我国股权激励机制的不断成熟, 我国颁布了相应的法律法规,越来越多的上市公司也都选择实施股权激励,股权激励正激烈 地开展着,但同时也带来了一系列的问题,股权激励争议的定性问题便是其中之一。
近年来,涌现出越来越多与股权激励有关的的纠纷案件。产生这种现象的主要原因在于 我国现行法律规范尚不完善,而且仅仅适用于上市公司,这样一来便导致处理该类纠纷案件 时常陷入困境。本文借鉴了一些学者关于股权性质的研究,结合分析“深圳富安娜股权激励 纠纷案”研究我国上市公司股权激励纠纷的定性问题。笔者先从概述股权激励纠纷现象开始, 然后通过结合案例总结归纳该纠纷产生的原因,最后分析股权激励纠纷的法律性质,希望通 过对股权激励纠纷定性的学习和探讨能作出一些创新性的思考。88621

As an effective system to deal with the contradiction between principal and agent, improve the corporate governance structure and develop the human resources, the equity incentive system has gradually developed。 Its influence is more and more bigger, especially to the listed company。 With the maturity of China's equity incentive mechanism, China has promulgated the corresponding laws and regulations。 More and more listed companies have chosen to implement equity incentive。 Equity incentive is vigorously launched, but also brought a series of problems。 One of the problems is the qualitative problem of equity incentive。
In recent years, the increasing number of disputes arising from the stock option incentive。 However, due to China's current legal norms are not perfect。 And it applies only to listed companies。 Thus, it is in the dilemma of the choice of the procedure of handling the dispute and the substantive judgment。 This paper draws lessons from some scholars on the nature of the equity。 Qualitative analysis to study the problem of equity incentive of listed companies based on the analysis of the dispute "Shenzhen fuanna equity incentive dispute case"。 I will outline the equity incentive。 And then I will combine the case to explain the cause of the dispute。 Finally, I will analyze the legal nature of equity incentive disputes。 I hope to make some innovative thinking through the study and discussion on the nature of the equity incentive dispute。
