3。1 Definition of English Business Contract
Under China's Laws, a contract is defined to focus on its functions meaning that " an agreement establishing modifying and terminating the civil rights and obligations between subjects of equal footing, that is, between natural persons, legal persons or other organizations。"(2nd article, China's Contract Law, 1999)。
Business contracts are legal documents which regulate the concerned parties’ rights, and obligations, and contract drafting is out of practical purpose。 In the simplest term, it is merely an agreement made by two or more parties for the purpose of transacting business。 Preciseness is the first requirement for legal documents。 And preciseness is manifested in the language of contracts。
An English Business Contract is an agreement written in English and an agreement that is signed and entered into in accordance with relevant laws to specify the respective rights and obligations of the parties hereto by and between enterprises or other economic organizations of China and foreign enterprises, economic organizations or natural persons for certain economic purposes, such as exchange of commodities, financing and economic and technical cooperation and exchange (Fu 68)。
3。2 Structure of English Business Contract论文网
When talking about structure, an English Business Contract generally consists of three parts: preamble (head), body (message) and final clauses (tail) and are generally arranged in such a consequent order。 Accordingly, the essential elements should be included in these three parts, without which a contract cannot be regarded as one to be protected and enforceable by law and regulations。
The beginning part of an English Business Contract, or called the head or preamble, generally have two parts: the corporate names (in full), operation addresses or residential addresses, the contract number (Telephone, Fax), the date and place of signature, etc。 Also in the section, there are "whereas clauses", in which specify the reason, intention, background of concluding the contract (Liu and Wang 109)。
The body in English Business Contracts is the core part of the whole message, where clear provision is made in detail, specifying the rights and obligations of the parties concerned respectively with the conformity of the subject matter and its relevant transaction terms。 The clauses of the body can be pided into three sections: essential clauses, clauses determined by the contractual subject matter and clauses agreed upon by the contracting parties (Qi 202)。
The final part mainly includes the clauses in which a contract is to be written and their legality, the effectiveness of the contract, signature, etc。 If there are any accessories attached to the contract, it should be put forward in the final clauses that the accessory cannot be parted with the contract。
4。 Lexical Repetition in English Business Contract Text
4。1 Definition of lexical repetition
Many scholars give the definition of lexical repetition, such as Hoey, Halliday and Hasan, and Karoly。 But in this thesis, we only use Karoly Krisztina’s definition。
According to Karoly Krisztina, lexical repetition, on the one hand, refers to a particular type of cohesive relation, i。e。 the phenomenon in which, in a given text, (a) a lexical unit is repeated either in exactly the same form, or with inflectional or derivational change or (b) the information content of the lexical unit is totally or partially repeated through a semantically related lexical unit, such as synonym, opposite, hyponym/super ordinate, meronym, or unit instantially related to a previously mentioned lexical unit。 Lexical repetition, on the other hand, refers to one specific class of repetition type, more precisely, the one containing: (1) simple repetition which means the recurrence of the same lexical unit with possible inflectional difference, and (2) derived repetition which refers to the appearance of an identical root morpheme, but with possible derivational difference ( Krisztina 146)。
