比较法视野下的商事代理制度研究

摘要在这个市场经济越来越成熟、社会分工越来越细化、经济逐渐全球化的背景下，商事代理制度迅猛发展，在世界各国的商事交易中都扮演了非常重要的角色。商事代理是指代理人以营利为目的，接受被代理人委托而为的、效果归于被代理人的、具有法律效果的行为。商事代理制度在促进交易的安全、提高交易的效率、扩大交易的范围、增加商事活动的利益以及促进经济一体化等多方面起到了积极作用。因此，无论是大陆法系国家还是英美法系国家，也不管是采取民商合一的国家还是民商分立的国家，都对商事代理制度给予了足够的重视，商事代理制度成为司法领域一项不可或缺的重要制度。本文从商事代理的起源及概念着手，比较商事代理制度的基础理论及授权机制，以期为我国的商事代理制度提供借鉴。87836
