我国公司法定代表人制度研究 一、我国公司法定代表人制度概述
随着国有企业及其他法人的法定代表人制度陆续出台，我国公司法定代表人制度随之而出。它产生于生产资料公有制和计划经济体制下，通过不断改革和完善，已经深深的打上了中国的烙印，形成了如今极具中国特色的公司法定代表人制度。
（一）法定代表人的概念
《民法通则》第三十八条对公司法定代表人做出了明确定义，即“依照法律或者法人组织章程规定，代表法人行使职权的负责人，是法人的法定代表人”。这是我国公司法定代表人制度的基本概念，但仅从法定代表人产生的途径这一个方面进行阐述，对公司法定代表人的职责、任职限制、等未做出明确规定。该制度的产生及其目的是为了使得公司法人可以像自然人一样参与民事活动，进行民事交往。在我国，法人代表实行唯一制，即一个法人只能有一个法定代表人。一般认为，公司的行政负责人（正职）是其唯一的法定代表，如公司董事长、执行董事或经理。
