摘要农村商业银行是当下商业银行的典型代表之一，作为一个新型的股份制金融机构，其公 司化治理既体现了银行的行业特色，又凸显了现代金融企业公司的组织架构。但由于农村商 业银行转型出现时间晚，对于如何完善其公司化治理尚停留在摸索阶段。大部分农村商业银 行只是简单照搬一般的公司法人治理结构，忽视了其本身商业银行的特殊性和重要性，因此 当下面临着诸多的挑战。本文简单比较分析了当下四种商业银行公司化治理的模式，为之后 的模式借鉴提供参考，再以禾城农商银行为例，通过探究其发展历程，取得成绩和公司化治 理中存在的问题，以小见大，为完善农村商业银行公司化治理提出行之有效的对策。89051

Rural commercial banks is one of the typical representatives of commercial banks。 As a new type of joint-stock financial institutions，its corporate governance not only embodies the banking industry characteristics, but also highlights the modern financial enterprise company's organizational structure。 However, due to the transition of rural commercial banks appear late, how to improve its corporate governance is still in the exploratory stage。 Most rural commercial banks simply copy the general corporate governance structure, ignoring the particularity and importance as commercial banks, so there are many challenges。 This paper makes a brief comparison and analysis of the current four kinds of commercial banks' corporate governance model, which provides a reference for later content。 And then, take Hecheng rural commercial bank as an example, through the exploration of its development process, achievements and problems of corporate governance,  multum in parvo, to provide effective countermeasures for corporate governance of small rural commercial banks。
