摘要：改革开放以来，我国很多企业热衷于到海外上市，其中互联网企业更是显得尤为迫切。互联网企业发展速度快，发展前期需要大量的资金，但又满足不了国内上市条件，很多互联网企业便将目光投在了上市更加便利的海外市场。许多在中国知名的互联网巨头也选择到海外上市，所以探讨互联网公司的海外上市尤为重要。本文运用了规范分析与案例分析结合的方法，简要介绍了互联网企业海外上市的历程，分析了其因企业发展的需要，又受国内诸多条件限制等内外部的原因，以及面临的价值被低估和再融资困难等问题，提出了控制上市成本制定有效计划，注重投资者利益及强化公司内部控制的对策，并结合百度公司的案例具体分析了其上市成功的原因，以此希望对我国互联网企业海外上市有一定的现实指导作用。74964
