摘 要追溯独立董事制度的起源与发展。其是自上个世纪80年代以来在欧美上市公司开始盛行，并于世纪之初传入我国的。在我国是借鉴欧美国家上市公司治理经验引入的一种制度。引入的最初目的是借鉴国外先进的治理经验来完善我国上市公司治理和维护中小股东与公司的整体利益，进一步解决国内“一股独大”的内部矛盾。本文探讨了独立董事制度的相关问题，主要将独立董事作用在国内的研究状况与国外的进行了对比分析，具体分析了独立董事的特征。通过其角色定位分析独立董事制度在我国公司治理中的具体作用，同时指出了独立董事制度在国内发展的桎梏，具体面临的问题。就如何增强独立董事的独立性针对性的还做出了建议分析。86581

The Role Of Independent Directors in China

Abstract Tracing the origin of the independent director system。 It is since last century 80 time in Europe and the United States listing Corporation began to prevail,and in the beginning of the century into our country,in fact,it is our country to draw lessons from European and American countries,the introduction of a system of governance experience。 The first purpose of the introduction is to draw lessons from foreign advanced management experience to improve the overall interests of small shareholders and the company,to further solve the internal contradictions of the "one dominant" in China。 This paper explores the issues related to the independent director system,mainly the role of the independent director in the domestic research status and abroad by comparative analysis,a detailed analysis of the characteristics of independent directors,through its role in the analysis system of independent directors in corporate governance with agent,and points out the independent director system in the shackles of the development of domestic,face specific problems on how to enhance the independence of independent directors for the also made analysis and suggestion。
